1. About FriFilms Canada
FriFilms Canada (“the Company”, “we”, “us”, “our”) is a creative and marketing agency registered and operating in Manitoba, Canada. We provide video production, branding and design, web development, and social media management services.
These Terms & Conditions govern: (a) use of our website at frifilms.ca, and (b) any service agreement entered into between FriFilms Canada and a client (“you”, “the Client”).
2. Website Use
2.1 Permitted Use
You may access and use our website for lawful purposes only. You agree not to:
- Use the website in any way that breaches applicable laws or regulations
- Transmit unsolicited commercial communications or spam
- Attempt to gain unauthorised access to any part of the website or its systems
- Copy, reproduce, or distribute website content without our prior written consent
- Use automated tools to scrape, crawl, or extract data from the website
2.2 Availability
We aim to keep our website available at all times but do not guarantee uninterrupted access. We reserve the right to suspend or discontinue the website at any time without notice.
3. Services
3.1 Scope of Services
FriFilms Canada provides the following core services:
- Video Production — commercial videos, documentaries, event coverage, brand films
- Branding & Design — brand identity, visual design, logo creation, brand guidelines
- Web Development — website design, development, and maintenance
- Social Media Management — content creation, strategy, scheduling, and reporting
The specific scope, deliverables, timeline, and pricing for each engagement will be detailed in a separate project proposal or service agreement provided to the Client prior to commencement.
3.2 Revisions
Unless otherwise specified in the project proposal, FriFilms Canada includes two (2) rounds of revisions per deliverable. Revisions requested beyond this scope may be subject to additional charges at our standard hourly rate, which will be communicated in advance.
3.3 Client Responsibilities
The Client agrees to:
- Provide all necessary materials, content, approvals, and feedback in a timely manner
- Ensure all content supplied (text, images, video, audio) is owned or properly licensed by the Client
- Designate a primary point of contact for project communications
- Review and approve deliverables within agreed timeframes
Delays caused by the Client’s failure to provide required materials or approvals may result in revised project timelines, for which FriFilms Canada shall not be held responsible.
4. Fees & Payment
4.1 Pricing
All fees will be agreed upon in writing prior to project commencement. Quoted prices are in Canadian Dollars (CAD) unless otherwise stated. Prices are exclusive of applicable taxes (including GST/HST).
4.2 Payment Terms
- A deposit of 50% of the total project fee is required before work begins
- The remaining balance is due upon project completion and prior to final delivery of files
- For ongoing retainer services, payment is due monthly in advance
- Invoices are payable within 14 days of the invoice date unless otherwise agreed
4.3 Late Payments
Invoices not paid within 14 days of the due date may incur a late payment fee of 2% per month on the outstanding balance. FriFilms Canada reserves the right to pause work on any project where payment is overdue.
4.4 Expenses
Any pre-approved third-party costs incurred on the Client’s behalf (e.g., stock footage, fonts, software licences, travel) will be invoiced separately and are payable by the Client.
5. Intellectual Property
5.1 Ownership upon Full Payment
Upon receipt of full payment, FriFilms Canada assigns to the Client all rights, title, and interest in the final deliverables created specifically for the Client under the project agreement, except as noted below.
5.2 FriFilms Canada Retained Rights
FriFilms Canada retains ownership of:
- All preliminary concepts, drafts, and working files not included in the final delivery
- Proprietary methodologies, workflows, tools, and templates developed by FriFilms Canada
- The right to display the completed work in our portfolio, case studies, and promotional materials unless the Client requests otherwise in writing
5.3 Third-Party Materials
Where third-party materials (stock images, music, footage) are used, licences are obtained on the Client’s behalf. The Client is responsible for ensuring continued compliance with those licence terms after delivery.
5.4 Client-Supplied Content
The Client warrants that all materials supplied to FriFilms Canada are owned by the Client or properly licensed for use. The Client indemnifies FriFilms Canada against any claims arising from Client-supplied content that infringes third-party rights.
6. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the engagement. FriFilms Canada will not disclose the Client’s business information, strategies, or materials to any third party without prior written consent, except where required by law or to engage approved subcontractors bound by equivalent confidentiality obligations.
7. Cancellation & Termination
7.1 Cancellation by Client
- Cancellation before project commencement: the deposit is non-refundable
- Cancellation after work has begun: the Client is liable for all work completed to the date of cancellation, invoiced at a pro-rated amount
- Cancellation of a retainer agreement requires 30 days written notice
7.2 Termination by FriFilms Canada
FriFilms Canada reserves the right to terminate a project or agreement if:
- The Client fails to make payment within 30 days of the due date
- The Client acts in a manner that is abusive, unlawful, or unreasonable
- The project scope changes materially without a revised agreement being signed
In the event of termination by FriFilms Canada, we will invoice for all work completed to date.
8. Limitation of Liability
To the fullest extent permitted by applicable law:
- FriFilms Canada’s total liability to the Client under any agreement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim
- FriFilms Canada shall not be liable for any indirect, incidental, consequential, or special damages, including loss of revenue, loss of profits, or loss of data
- FriFilms Canada is not responsible for the performance of third-party platforms, tools, or services used in the course of delivering our services
Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded by law.
9. Warranties & Disclaimers
FriFilms Canada warrants that:
- Services will be performed with reasonable skill and care
- We have the right to enter into agreements and provide the services described
FriFilms Canada does not warrant that:
- Creative or marketing services will achieve specific business outcomes, results, or return on investment
- Website content is free from errors or will be uninterrupted at all times
- Social media strategies will result in specific follower counts, engagement rates, or leads
10. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, the parties agree to pursue mediation before initiating any legal proceedings. These Terms & Conditions are governed by the laws of the Province of Manitoba and the applicable laws of Canada. Any legal proceedings shall be conducted in the courts of Manitoba.
11. Subcontracting
FriFilms Canada may engage qualified subcontractors or freelancers to assist in delivering services. We remain responsible for the quality and confidentiality of all work carried out by subcontractors on our behalf.
12. Force Majeure
FriFilms Canada shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, or public health emergencies.
13. Changes to These Terms
FriFilms Canada reserves the right to update these Terms & Conditions at any time. Changes will be posted on our website with a revised effective date. Continued use of our website or services after such changes constitutes acceptance of the updated terms.
14. Severability
If any provision of these Terms & Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms & Conditions, together with any project proposal or service agreement signed by both parties, constitute the entire agreement between FriFilms Canada and the Client with respect to the subject matter herein, and supersede all prior discussions, representations, or agreements.
